These terms govern use of the OVERTURES website and paid services supplied by OVERTURES Infotech (India) (“OVERTURES”, “we”, “us” or “our”). The accepted quotation, order, invoice or service agreement for a particular engagement forms part of these terms. If there is a conflict, the signed or accepted service document controls for that engagement.
Services and customer responsibilities
We provide services described in the applicable quotation, including hosting, cloud infrastructure, software, websites, consultancy, security, backup and support. You must provide accurate information, maintain authorised contacts and access credentials securely, pay on time, maintain licences for third-party software, and use the services lawfully.
Acceptable use
You must not use our systems to host unlawful, infringing, fraudulent, abusive, harmful or malicious material, attack or probe systems without permission, send spam, evade security controls, or interfere with another customer. We may suspend access where reasonably necessary to protect people, systems, data or legal compliance.
Availability, backups and third parties
Service availability, support hours, backup retention and recovery objectives apply only where expressly stated in the accepted quotation or service agreement. Internet connectivity, third-party platforms, domain registries, software licensors and force-majeure events may affect delivery and are outside our reasonable control.
Intellectual property
Each party retains ownership of material it supplied. Subject to payment, you receive the rights expressly stated in the quotation for deliverables created for you. OVERTURES retains ownership of its pre-existing tools, methods, templates, know-how and reusable components. Third-party software remains subject to its licensor’s terms.
Suspension and termination
We may suspend or terminate services for overdue payment, material breach, unlawful use, security risk or a legal requirement. On termination, you remain responsible for amounts incurred up to termination. Customer data export, transition assistance and retention are handled as stated in the quotation or applicable service policy.
Liability and governing law
Services are provided with reasonable care and skill, but no uninterrupted or error-free operation is promised unless expressly agreed. To the extent permitted by law, neither party is liable for indirect or consequential loss, and OVERTURES’ total liability for an engagement is limited to the fees paid for that engagement during the preceding twelve months. These terms are governed by the laws of India and courts in Mumbai, Maharashtra have jurisdiction.
